Agent Agreement — Beta Program

Version 1.0 · Effective June 2026

1. Introduction

This Agent Agreement (the “Agreement”) is between Keilogic, LLC, a Georgia limited liability company, doing business as The Place 4 Homes (“TP4H,” “we,” “us”) and the real estate agent identified in the application (“Agent,” “you”). It governs your participation in the TP4H platform (the “Platform”), including its beta program (the “Beta Period”).

By submitting an application and using the Platform, you confirm that you have read, understood, and agree to this Agreement.

2. The Beta Program

TP4H is currently in beta. That means the Platform is functional but still under active development. By joining during the Beta Period you understand and accept that:

  • The Platform is provided free of charge during the Beta Period.
  • Features may be added, changed, or removed at any time without notice.
  • Occasional interruptions, errors, or downtime may occur. We will make reasonable efforts to keep the Platform available and to preserve your data, but we cannot guarantee uninterrupted service during beta.
  • We may contact you to ask for feedback on your experience. Honest feedback is the contribution we ask of beta agents, and it is part of the value you bring as a founding agent.

TP4H will announce the end of the Beta Period and the commercial launch of the Platform (“Launch”) with reasonable advance notice to all beta agents.

3. Agent Eligibility and Certification

The Platform is exclusively for genuine, practicing real estate professionals. By applying, you certify that:

  • You are a bona fide real estate agent actively engaged in the business of marketing and selling real property in Costa Rica.
  • All information provided in your application is true, accurate, and complete, and you will keep your account information up to date.
  • You have the legal right and authority to market each property you list on the Platform.

TP4H reviews every application individually and reserves the right, at its sole discretion, to approve or decline any application without obligation to state a reason. Misrepresenting your status as a real estate professional is grounds for immediate deactivation of your account.

4. Your Account

Once your application is approved, we will activate your account and notify you. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly if you believe your account has been accessed without authorization.

Accounts are personal to the approved Agent and may not be shared, sold, or transferred without TP4H's written consent.

5. Subscription and Founding Agent Pricing

5.1 During the Beta Period

Use of the Platform is free of charge for approved beta agents. No payment method is required during the Beta Period.

5.2 At Launch

At Launch, continued use of the Platform will require a paid monthly subscription. Our current target for the standard subscription price at Launch is US $49 per month; however, this figure is a target only, and the actual price at Launch may be adjusted up or down at TP4H's discretion. The confirmed price will be communicated to all beta agents before Launch, and no charges will ever be applied without your express enrollment in a paid subscription.

5.3 Founding Agent Discount

As a beta agent, you qualify for a Founding Agent Discount of 50% off the then-current standard subscription price. This discount:

  • Takes effect at Launch and applies for as long as your account remains active and your subscription payments remain current.
  • Is forfeited if your account is closed, is deactivated for violation of this Agreement, or lapses for non-payment. Reinstatement of the discount after forfeiture is at TP4H's discretion.
  • Is personal to you and cannot be transferred.

6. Your Listings and Content

You retain ownership of the content you post: property listings, photographs, descriptions, your logo, and other branding (“Your Content”).

You grant TP4H a non-exclusive, royalty-free license to host, display, reproduce, and distribute Your Content on the Platform and through the distribution and syndication channels TP4H makes available, for the purpose of marketing your listings and operating and promoting the Platform. This license ends when the relevant content is removed, except where it has already appeared in materials in circulation.

You certify that you own or have the necessary rights to all content you upload, including photographs, and that Your Content does not infringe the rights of any third party. You are solely responsible for the accuracy of your listings, including prices, property details, and availability.

7. Property Syndication

The Platform offers an optional syndication feature that lets member agents display each other's listings. Syndication works as follows:

  • Offering a property for syndication. When you post a property, you indicate on the property form whether you are offering it for syndication. This choice is made per property, and you may change it at any time. Properties offered for syndication appear on a syndicated properties list that is available to all member agents.
  • Displaying syndicated properties on your site. You choose how syndicated properties appear on your branded website: you may opt to have them added to your site automatically as they join the list, or you may select them manually from the syndication list. Properties added automatically may be removed from your site manually at any time.
  • Notifications. You may opt in or out of being notified when a new property is added to the syndication list.

For syndication purposes, the agent who posted a property is the “Listing Agent,” and an agent displaying that property on their own site is the “Selling Agent.” The syndication list links to the property's page on the Listing Agent's site, so a Selling Agent can review a listing before adding it to their own site and can contact the Listing Agent from that page.

Inquiries about a property are sent to the agent who owns the site where the inquiry originated. When a buyer inquires about a syndicated property on a Selling Agent's site, the inquiry goes to that Selling Agent. It is the Selling Agent's responsibility to contact the Listing Agent, and the two agents work together on the transaction on whatever terms they agree between themselves. TP4H is not a party to, has no involvement in, and assumes no responsibility for any arrangement between agents, including any sharing of commissions.

By offering a property for syndication, you agree that it may be displayed on the branded websites of other member agents and that inquiries originating on those sites will be handled by the respective Selling Agents as described above. Withdrawing a property from syndication, or removing your account from the Platform, removes that property from the syndication list and from other members' sites.

8. Acceptable Use

The Platform exists for the legitimate marketing of real property. You agree not to use the Platform to post, transmit, or link to content that:

  • Is unlawful, fraudulent, or deceptive, including listings for properties that do not exist or that you have no authority to market.
  • Is pornographic, obscene, or sexually explicit, or is otherwise grossly offensive.
  • Is defamatory, harassing, discriminatory, or hateful.
  • Infringes the intellectual property, privacy, or other rights of any third party.
  • Contains malware or attempts to interfere with the operation or security of the Platform.

You further agree not to scrape, copy, or harvest data from the Platform, not to misuse contact information of buyers or other agents, and not to use the Platform for any purpose other than marketing real property as contemplated by this Agreement.

9. Deactivation and Suspension

TP4H reserves the right to suspend or deactivate your account, at its sole discretion and with or without prior notice, for improper use of the Platform, including any violation of Section 3 (Eligibility), Section 6 (Listings and Content), or Section 8 (Acceptable Use), or for conduct that TP4H reasonably believes harms the Platform, its members, or the public.

Upon deactivation, your branded site and listings are removed from public view. Deactivation for cause forfeits the Founding Agent Discount as described in Section 5.3. Where practical and appropriate, TP4H will tell you the reason for deactivation and give you an opportunity to correct the issue, but is not obligated to do so in cases of serious misuse.

10. Term and Termination

This Agreement takes effect when your application is approved and continues until terminated. You may close your account at any time by contacting us or using the account closure option in your dashboard. TP4H may terminate this Agreement as described in Section 9, or upon discontinuation of the Platform.

Sections that by their nature should survive termination (including content licenses for materials already in circulation, disclaimers, and limitations of liability) survive termination.

11. Privacy and Data

TP4H collects and processes the information you provide in your application and account, your listings, and inquiries from prospective buyers, for the purpose of operating the Platform. Buyer inquiries originating on your site are forwarded to you; you agree to handle that personal information responsibly and to use it only in connection with the inquiry. TP4H's handling of personal data is described in its Privacy Policy, which forms part of this Agreement.

12. Disclaimers and Limitation of Liability

During the Beta Period in particular, the Platform is provided “as is” and “as available,” without warranties of any kind, express or implied. TP4H is a marketing platform; it is not a party to, and assumes no responsibility for, any transaction between you and a buyer, and does not verify the accuracy of listings posted by agents.

To the maximum extent permitted by law, TP4H's total liability arising out of or relating to this Agreement will not exceed the amounts you paid to TP4H in the twelve months preceding the claim (which, during the Beta Period, is zero), and TP4H will not be liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities.

13. Changes to This Agreement

TP4H may update this Agreement from time to time, including to reflect the transition from beta to commercial launch. We will notify you of material changes by email or through the Platform with reasonable advance notice. Your continued use of the Platform after the effective date of an updated Agreement constitutes acceptance of the changes. If you do not agree to a change, your remedy is to close your account before the change takes effect.

14. General

This Agreement is governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules, and any disputes will be resolved in the state or federal courts located in the State of Georgia. If any provision of this Agreement is found unenforceable, the remaining provisions remain in effect. This Agreement, together with the Privacy Policy and the Platform's posted rules, is the entire agreement between you and TP4H regarding the Platform. A failure to enforce a provision is not a waiver of it.
